1. Who can form a company in New Zealand?
Anybody can form a company provided they are not:
- an undischarged bankrupt
- under 18
- prohibited for any other reason under the Companies Act or the Protection of Personal and Property Rights Act.
2. I am not a New Zealand Resident. Can I form a company?
Yes. You do not need to be New Zealand citizen or resident to form a company in New Zealand.
3. I do not have an address in New Zealand. Can I form a company?
Yes. If you do not have an address in New Zealand we can act as your registered physical address within New Zealand. We will forward mail that we receive to your international address (only official company related mail - not be to be used for commercial purposes).
4. How do I form a company in New Zealand?
It is easy to form a company. You can apply online in as little as 5 minutes. Select the appropriate option below to apply.
5. How much does it cost to form a company?
The fee for company formation is $399 NZD (including GST and delivery). If you do not have an address in New Zealand we can act as your registered physical address for an additional fee of $225 NZD (including GST) per annum.

We accept payment by direct credit, credit card, or cheque.

This is the founding document of your company.
2. Comprehensive Company Folder
All companies are required to produce a variety of company records under the Companies Act 1993. Many companies offer company registration, however, if they do not provide you with the mandatory company registers your company will be operating illegally and you could face fines of up to $10,000!
The company folder you will receive from Company Formation Specialists complies with the statutory register requirements of the Companies Act 1993. It should be kept at the Registered Office of your company. Our company folder is one of the most comprehensive
available so you can start your business
with confidence.
All documents are personalised with your company name and
number, and are organised in a professional, corporate folder,
facilitating easy access to your documents.
- Certificate of Incorporation
This is the founding document of your company.
- Company Constitution
This optional document outlines how your company will be organised. It is
prepared by CCH New Zealand Limited, A WoltersKluwer Company.
CCH are the preferred supplier of tax and company law
information to Inland Revenue.
- Company Minutes
We will prepare the opening minutes for your company (required by law). We will also provide you with blank forms so that you can easily and professionally record the minutes of all future directors' and shareholders' meetings.
- Sample Resolutions
Sample resolutions are provided if you decide that you do not
wish to hold annual meetings or appoint auditors.

3. Registration with Inland Revenue
We will help you get to grips with your tax obligations. You will receive the appropriate Inland Revenue forms for IRD number application, GST registration, and employer registration. A prepaid envelope is included.
- IRD number application
When setting up in business you
need an IRD number. This number is an 8 digit number which then
becomes your business identification number the IRD know you by.
- GST registration
You must register
for GST if you expect your turnover (sales and income) to be
more than $60,000. But there are good reasons to
register for GST even if your turnover is under $60,000. The most important is that you will be
able to claim back the GST on all your business expenses that
have a GST component.

As soon as you start employing one or more people, you must
register as an employer.
